This paper introduces the developing situation and existing problems of our country's independent director system, and puts forward some suggestions and measures for developing and perfecting the listed companies' independent director system, which include improving the company's managerial structure, making clear the functional position-setting and legal system construction for the independent directors, and cultivating actively the independent director market and perfecting the motivation mechanism, etc.
