摘要
企业员工以不同形式参与公司治理是目前市场经济国家公司治理结构改革与创新的一大趋势,人力资本的专用性理论和经济民主论是员工参与公司治理的理论依据;实践中西方国家企业员工参与公司治理采取了集体谈判、员工参与共决制、终身雇佣制、职工持股计划等。
There is a development trend of reform and innovation of corporate governance structure in market economy countries. The trend is that employee takes various means to join corporate governance . Its theoretical basis is the theory of specific of human capital and the theory of economy democracy. In practice employees of western countries takes means such as Employee Stock Ownership Plans, co- determination.
