摘要
面对全球经济一体化和金融危机,加快步伐进行资源重组和优化配置从而提高企业经营绩效与核心竞争力,是中央企业生存与发展的必由之路,也是其承担国有经济发展历史使命的客观要求。中央企业重组的发展模式应建立在股份制改革的实践基础之上,突破企业层面重组的单一模式,寻求基于产业、资源与能力为依托的其他多层次选择路径。同时,重组所遇到的瓶颈问题亟需解决并使改革向纵深推进,政府作为国有出资人代表应主要发挥市场化选择的作用,国有资源应逐渐向关键领域和重要行业集中,对中央企业重组引发的垄断与竞争性评价应立足于对经济绩效的考查,中央企业重组的成功有赖于各层次目标的协调和交易保障机制的完善。
Facing the global economic integration and financial crisis, it is not only the only way for central enterprises concerning survival and development to accelerate the pace of restructuring and optimizing the allocation of resources to improve business performance and core competitiveness. The reorganization of central enterprise development model should be established on the basis of the practice of joint-stock reform, and break a single model of corporate level restructuring by seeking other multi-level selecting paths on the base of resources and ability. Mean- while, the encountered bottlenecks problems of reorganization should be solved. The Government, as the representatives of state-owned investors, should mainly play the role of market-based options. The monopoly or competitive evaluation triggered by reorganization of central enterprises should be based on economic performance considerations. Furthermore, the success of the reorganization of central enterprises depends on the coordination of goals at all levels and the perfection of transaction protecting mechanism.
