摘要
对我国上市公司 2 0 0 0年进行了并购的 2 8家公司进行实证分析 ,结果表明 :我国上市公司开展的并购活动还远未产生其应有的效应 ,相反却限制了并购公司主营业务的发展壮大。导致这种结果的主要原因是有以下两方面 :一是并购企业在进行并购前对自身成长方向与业务发展战略没有周密思考规划 ,缺乏对目标行业的认识与了解 ;二是忽视了并购后的整合管理。
This paper made an empirical research on M&A activities happened among Chinese public companies in 2000. The conclusion shows that the effect of M&A is not satisfactory, which unexpectedly restricts the development of main business of these companies as a whole. As far as the author is concerned, two reasons contribute to the result. One is that the acquiring companies have no strict plan on their growth and business strategy. Another is that the acquiring companies have not paid attention to integration management after M&A.
