抵押财产转让规则解释论——以《民法典》第406条为中心

摘要 抵押人对抵押物享有占有、使用、收益、处分的权利,即使物上存在担保物权,也并不影响物在市场上的自由流动,抵押人处分抵押财产属于其享有权益范围内的行为。抵押权追及效力的运用基于抵押物的自由转让,抵押人将其通过买卖合同转移至买受人处,抵押权人的抵押权进而追及至物之所在之处。为平衡抵押人、受让人及抵押权人间的关系,抵押人应履行转让财产的通知义务,该义务属一种勉励性义务,法律鼓励抵押人及时通知抵押权人转让事实,但并未规定不通知的后果。同时,为避免抵押权人的救济性规范被滥用,应对“可能损害抵押权”区分不同情况进行认定,并压实抵押权人的证明责任。 The mortgagor has the right to occupy, use, benefit from and dispose of the mortgaged property. Even if there is a security right in the mortgaged property, it does not affect the free flow of the mortgaged property in the market, and the mortgagor’s disposition of the mortgaged property falls within the scope of its rights and interests. The application of the pursuance effect of mortgage is based on the free transfer of the mortgaged property, the mortgagor transfers it to the buyer through the sale contract, and the mortgagee’s mortgage right then extends to the place where the property is located. In order to balance the relationship between the mortgagor, the assignee and the mortgagee, the mortgagor should perform the notification obligation of the transfer of property, which is an encouraging obligation. The law encourages the mortgagor to notify the mortgagee of the transfer in time, but does not stipulate the consequences of failure to notify. At the same time, in order to avoid the abuse of the relief norms of the mortgagee, the different cases of “possible damage to the mortgage” should be identified, and the burden of proof of the mortgagee should be tightened.
