摘要
国美之争看似大股东与职业经理人之间的控制权之争,实质上是传统家族式治理与现代企业公司治理两种制度之间的博弈。所以,在民营企业中,那些看似"规范的、科学的、合理的"公司治理制度,很大程度上"形似而神不至",根本不能体现公司的全部权力关系,故后危机时代的中国民营企业在提升自身实力、活力、竞争力时,面临公司治理上的严峻挑战。公司治理作为一种制度安排,实际上是各利益主体在公司内部为了各自的利益进行的博弈过程,这一过程不仅需要遵守一定的法律规则,同时还需要相关法律规则的不断修改与完善,以满足发展和变化着的公司实践的需求。
The struggle for controlling Come is in fact a game between family management and modern management. The system made in such a company can not reflect the power of the whole company, so China's private enterprises must improve their strength, vigor and competition to face these rigid challenges. Company management, as a system, is a process in which various subjects struggle for their own benefits. And this process must abide by laws and in the meantime the related laws should be improved and perfected to meet the development and changes of companies.
