判例法中独立保函的审单标准研究

独立保函与信用证一样,独立于基础交易并凭符合指定要求的单据付款,但在判例法中其是否采用与后者相同的严格相符审单标准则具有较大的不确定性。近期的判例表明,多数法院拒绝在独立保函纠纷中适用严苛的严格相符标准,逐渐侵蚀独立保函的表面相符原则和单据化交易特点。

Demand guarantee is independent of the underlying transaction and its payment condition is supplying satisfying documents required just like that in letter of credit.But it is uncertain whether the same doctrine of strict compliance in document examination is applied.In recent years most courts have refused to apply strict compliance doctrine in the dispute of demand guarantee and rule of“appear on the face”examination and documentary transaction has been eroded gradually.
