公司民主管理权利如何走出尴尬境遇

How to Get Rid of the Embarrassing Situation of the Democratic Management Right of the Company

摘要 公司民主管理权利立法与实践的冲突主要源于立法理论存在重大瑕疵。否定说理论在否定职工决策权的同时一并否定了职工参与权,在承认公司治理权利分工的同时又固化了权利分工。肯定说理论将职工合法权益保障不当纳入民主管理权利之范围,把职工参与权扩张解释为决策权。民主管理权利的本质是职工向公司提出意见和建议的柔性参与权,不是公司决策权抑或控制权。明确职工民主管理权利的私权属性与适用范围,引入民主集中制原则和企业利益共同体理念,对公司民主管理权利理论进行补强重构,客观审视其法理价值,有助于化解公司民主管理权利理论、立法和实践的双重对立之尴尬局面。 The conflict between the legislation and practice of democratic management rights in companies mainly stems from significant flaws in legislative theory.The theory of negation not only negates the decision-making power of employees,but also negates their right to participate.While acknowledging the division of corporate governance rights,it also solidifies the division of rights.The affirmation theory includes improper protection of employees’legitimate rights and interests within the scope of democratic management rights,and interprets the expansion of employees’participation rights as decision-making power.The essence of democratic management rights is the flexible participation right of employees to provide suggestions or opinions to the company,rather than the decision-making or control power of the company.Clarifying the private nature and scope of application of employees’democratic management rights,introducing the principles of democratic centralism and the concept of corporate interest community,strengthening and reconstructing the theory of corporate democratic management rights,objectively examining its legal value,can help resolve the awkward situation of dual opposition between the theory,legislation,and practice of corporate democratic management rights.
