摘要
在确定国际商事仲裁协议的准据法时,虽然各国普遍承认当事人意思自治原则,允许当事人约定仲裁协议适用的法律,然而,在当事人未作此约定时,目前尚未存在国际通行的缺省规则。综观各国的立法规定与司法实践,在当事人未作出法律选择时,存在适用主合同准据法、仲裁地法、与仲裁协议存在最密切联系的法等不同的规定。值得注意的是,近年来国际商事仲裁协议的法律适用亦有统一化动向。本文立足国际商事仲裁制度发达的英国、新加坡两国近年来的司法实践,提炼仲裁协议法律适用的最新规则及其发展动向,希望为国际商事仲裁的法律适用提供新的思路。
Countries generally recognize the principle of party autonomy when determining the applicable law for the arbitration agreement,allowing contracting parties to choose the applicable law for the arbitration agreement.However,without such choice,there is no generally adopted default rule to determine the governing law of arbitration agreement.Looking at the legislative and judicial practice of various countries,there exist different approaches such as choosing the law of the main contract,the law of the place of arbitration or the law with the most connection with the arbitration agreement.Despite the fragmentation of various approaches,it is note-worthy that from the frontier practice in the field of international commercial arbitration,the rule for the applicable law for the arbitration agreement has witnessed a trend of unification.Based on the most recent judicial practice in the UK and Singapore,which are leading forums of the international commercial arbitration,this Paper summarizes the newest development and the trend of unification of the conflict of law rules in this field,hoping to provide new insight on this regard.
