摘要
"三权分置"政策的推行与《农村土地承包法》《农民专业合作社法》的修订,为土地经营权投资入社提供了制度上的可行路径。对于土地经营权投资入社的规则问题,可以从合作社的法律定位、土地经营权流转中股权化的主要方式入手,探讨土地经营权入社的出资规则,如设立人的权利和义务、投资入社的定价程序、定价标准以及入社时作价不实对合作社与相关主体利益的影响等。在此基础上,实践中还需特别注意合作社形骸化、土地经营权投资入社后的转投资、土地经营权入社中权责利的差异化配置及土地经营权入社后的退资等问题。
The implementation of"three rights division"policy and the revision of"Rural Land contract Law"and"Farmers specialized Cooperative Law"provide a feasible way for land management right to invest in farmers professional cooperatives.With regards to the rule of investment of land management right in farmers specialized cooperatives,we can start with the legal orientation of cooperatives and the main ways of equity ownership in the circulation of land management rights.Analyzing the rules of investment of land management right to farmers professional cooperative,such as the rights and obligations of the founder,and the pricing procedure of the cooperative,Pricing criteria and the impact of mispricing when investing in cooperatives on the interests of cooperatives and related subjects.On the basis of this analysis,special attention should be paid in practice to the conversion of land management right to cooperative investment.The land management right is invested in the differential allocation of rights,responsibilities and interests in cooperatives and the return of capital after the land management right is invested in the cooperative.
