摘要
有限责任公司的创始人或实施控制人保持控制权是公司治理机制的重要措施。实务中,对有限责任公司(以下简称“公司”)如何掌握控制权,理论界和实务界尚待系统梳理和总结,《公司法》规定亦比较零散。笔者认为,应从建立公司“依法治司”的企业文化,建立、完善公司治理的规章制度,建立股东的“退出机制”,根据发展阶段和实际情况,来把握实施公司控制权的强度四个方面构建公司控制权。建立公司控制权是公司一项十分重要的治理机制,有助于公司持续健康的发展。
It is an important measure of the corporate management mechanism for the founder or effective controller of a limited liability corporation to maintain the control right.In practice,how to control a limited liability corporation(hereinafter referred to as the corporation)needs to be systematically sorted out and summarized in the theoretical and practical circles.The provisions in the Company Law concerning the issue are also scarce.According to the author,the right to the control of the corporation should be established in four tiers.First of all,a corporate culture of ruling-by-law should be established.Secondly,the rules and regulations of corporate management should be improved.Thirdly,an"exit mechanism"for shareholders should be adopted in the corporation.Finally,the intensity of the implementation of the corporate control rights should be applied according to the development stage and the real situation.The establishment of corporate control rights is a vital management mechanism for the corporation to facilitate its sustainable and healthy development.
