“双一流”建设高校董事会章程现状研究——基于26份章程文本的NVivo软件分析

Research on the Bylaws of the Board of Directors among the “Double World-Class” Universities:Based on a NVivo Analysis of 26 Bylaws

为制定或修订校董会章程提供依据并促进校董会制度的完善,通过NVivo12软件对26份"双一流"建设高校董事会章程文本进行质性研究。"董事会的基本信息、成员的准入与退出、成员的权利与义务、董事会的职权与责任、董事会的组织与运行"是章程文本的五大主题。章程存在如下问题:公开情况不佳,修订进程缓慢;框架有待完善,行文问题频出;重要条款缺失,个别条款存在风险等。章程文本还反映出校董会的制度性问题:未能深入治理学校,忽视利益相关者的监督,专项事务治理能力有待提升,相关规定有待商榷等。解决以上问题,需要增强章程的法律效力并建立章程核准、公开和监督机制,提高董事会的法律地位,设立专门委员会,优化合作模式等。

This paper used the NVivo 12 to conduct qualitative analysis on the texts of the 26 bylaws of the university board of directors in the"Double World-Class"university construction.The five themes of the bylaw texts are"Basic information of the board of directors,access and withdrawal of members,rights and obligations of members,authority and responsibility of the board of directors,organization and operation".The following problems emerged:limited publicity,slow revision process;incomplete framework and writing deficiencies;important clauses missing,and risky clauses.The texts of the bylaws also revealsome institutional problems among the university boards of directors:failure to truly participatein university governance,neglect of the supervision from stakeholders,the inability to manage special affairs,and illegitimacy of certain regulations.To solve the above problems,it is necessary to enhance the legal effects of the bylaws and establish the approval,disclosure and supervision mechanisms of the bylaws,improve the legal status of the board of directors,set up special committees,and optimize cooperation models.
