金融机构破产综合立法的体系研究

Research on the Coordination Between the Revision of Enterprise Bankruptcy Law and Financial Law

修订《企业破产法》应当考虑其与金融法的衔接。目前在《企业破产法》中增设专章规定金融机构破产的时机还不成熟。未来的金融机构风险处置程序应当以制定《金融稳定法》为引领而非以《企业破产法》为主导;危机金融机构风险处置以监管程序为主导而非以司法破产程序主导。目前亟需完善《企业破产法》第134条、113条的规定,以建立金融法和《企业破产法》在金融机构风险处置、破产清偿顺位上的协同性。在修订《企业破产法》时应增设终止净额结算条款,以便利金融衍生品市场的健康稳定发展。

The revision of the"Enterprise Bankruptcy Law of the People’s Republic of China"(EBL)should consider its connections with the Financial Law.At present,the time for adding a special chapter to stipulate the bankruptcy of financial institutions in the"EBL"is not yet ripe.The future resolve procedures of failure financial institutions should be led by the newly formulated"Financial Stability Law"rather than the"EBL";the risk management of failure financial institutions should be led by regulatory procedures rather than judicial bankruptcy procedures.At present,it is urgent to improve the provisions of Articles 134 and 113 of the"EBL"in order to establish the synergy between the Financial Law and the"EBL"in the risk management and bankruptcy settlement sequence of financial institutions.When revising the"EBL",a clause for termination of net settlement should be added to facilitate the development of the financial derivatives market healthily and stably.
