作为常见的资本运作手段,并购重组能够有效的改变企业架构,能够在更大的范围内,进行资金、技术、人才和制度等要素的筛选与重构,从而实现价值创造和效率提升的目的。本文力求从理论层面与实际运作两个方面,对我国上市公司并购重组模式做出尽量完备且深入的总结分析。一方面,对上市公司并购重组相关的基本概念、类型等,进行了全面系统的分析;另一方面,基于上市公司并购重组的相关理论,深入地探讨了在我国现实环境下,上市公司并购重组的主要模式,具体包括并购模式与重组模式;最后,根据分析为我国上市公司并购重组提供相关对策建议。

As a common means of capital operation,mergers and acquisitions(M&A)can effectively change the structure of the enterprise,and can carry out the screening and reconstruction of capital,technology,talent and system in a larger scope,so as to achieve the purpose of value creation and efficiency improvement.This paper tries to make a comprehensive and in-depth summary and analysis of the mode on mergers and acquisitions in China’s listed companies from both theoretical and practical aspects.On the one hand,a comprehensive and systematic analysis is made on the basic concepts and types of mergers and acquisitions of listed companies;On the other hand,based on the relevant theories of mergers and acquisitions of listed companies,this paper probes into the main modes of mergers and acquisitions of listed companies under China’s realistic environment,including the mode of M&A and reorganization.Finally,according to the above analysis,this paper provides relevant countermeasures and suggestions for the merger and reorganization of China’s listed companies.Finally,based on the above analysis,the article provides relevant countermeasures for the merger and acquisitions of listed companies in China.
