科技型中小企业区域性股权市场融资法治保障研究

Research on the Legal Guarantee of Regional Equity Market Financing for Small and Medium-sized Technology-based Enterprises

实现资本市场和科技创新的有效衔接是解决科技型中小企业融资问题的重要手段,区域性股权市场作为科技型中小企业在资本市场直接融资的底层建筑,当前在顶层立法、监管手段、交易制度、转板制度、信息披露等方面仍存在诸多问题,相关法律制度亟待健全。通过比较研究、文献分析等手段,从法治保障的视角对发达国家场外资本市场法律制度进行研究借鉴,在梳理我国区域性股权市场相关法律制度沿革的基础上,对完善我国区域性股权市场法治保障提出建议。

Realizing the effective connection between the capital market and scientific and technological innovationisan important means to solve the financing problem of technology-based SMEs.As the underlying building of direct financing of technology-based SMEs in the capital market,the regional equity market still has many problems in top-level legislation,regulatory means,trading system,transfer system,information disclosure and other aspects,and the relevant legal system needs to be improved.Through comparative research,literature analysis and other means,the legal system of OTC capital market in developed countries is studied and used for reference from the perspective of legal protection.On the basis of combing the evolution of relevant legal systems in China's regional equity market,suggestions are made to improve the legal protection of China's regional equity market.
