电商平台自治法律机制的构建

随着电商平台的发展,其公共性日益增强的同时,平台企业的权利也展现出了权力化特征。对于此类异化了的权利,很难通过一般的民法制度对其进行约束和矫正。而经济法的规制重心又在平台企业间的竞争关系上,其对电商平台内部关系的调整缺乏针对性。商法中以分权制约、弱权整合以及程序控权为基础的自治法律机制恰好能够契合对平台企业权利异化规制的需求。构建电商平台自治法律机制,能够实现共建共治共享的电商平台治理格局、促进电商平台内生性民主建设、推进电商平台内部秩序的构建。电商平台发展至今,其产权结构的变化、组织属性的增强都表明电商平台已经具有实施自治的基础。因此,从对平台企业权利异化规制的角度看,电商平台自治法律机制的构架包括以平台成员权确立为代表的弱权整合机制、以引入协商制度为代表的程序控权机制以及以治理权转移为代表的分权机制。

With the development of e-commerce platform,its publicity is increasing,while the rights of platform enterprises also show the characteristics of power.For such alienated rights,it is difficult to restrain and correct them through the general civil law system.However,the regulation focus of economic law is on the competition relationship between the platform enterprises,which lacks pertinence to the adjustment of the internal relationship of the platform.In commercial law,the autonomy system based on decentralization,weak power integration and procedural control can meet the needs of the right alienation regulation of e-commerce platform enterprises.Through the construction of e-commerce platform autonomy mechanism,we can realize the platform governance pattern of co-construction,co-governance and sharing,promote the construction of platform endogenous democracy,and promote the construction of platform internal order.Since the development of the e-commerce platform,the changes in its property structure and the enhancement of organizational attributes all point to the fact that the e-commerce platform has already had the basis for implementing autonomy.Therefore,from the perspective of regulating the alienation of rights of platform enterprises,the framework of platform autonomy mechanism includes the weak power integration mechanism represented by the establishment of platform member rights,the procedural power control mechanism represented by the introduction of consultation system,and the decentralization mechanism represented by the transfer of governance rights.
