民法典编纂背景下商事地位的研究

Study on the Status of Commercial Affairs in the Background of Civil Code Compilation

中国民法学研究会副会长杨立新教授和台湾政治大学苏永钦教授都曾对《民法总则》中的亮点和创新加以肯定,称赞其为我国"百年一遇的法典时刻"。但美中不足的是,其中还存在着少许与商法产生矛盾的地方。鉴于此,据民法典编纂的背景下分析商事地位,以期能够构建一种合理的商事立法理论模式。

Professor Yang Li-xin,vice-president of China Civil Law Research Association,and Professor Su Yong-qin of Taiwan Political Science University have both affirmed the highlights and innovations in the general provisions of Civil Law,and praised it as"a once-in-a-century moment of code"in China.However,there are some conflicts with commercial law.In view of this,this paper combined the Civil Code compilation background,analysed of commercial status,in order to build a reasonable model of commercial legislation theory.
