体育企业合规:价值逻辑、实践动因与建设路径

Sports Corporate Compliance:Value,Motivation and Construction

企业合规在积极意义上构建了合法经营的规则体系,在消极意义上可作为企业违法犯罪时换取宽大处罚的依据,是一种国际盛行的企业治理方式。面对体育企业在发展中的问题,在新《体育法》背景下,引入企业合规的概念和推行体育企业合规对提升体育行政监管能力、强化体育行业自治和规范企业发展方面有促进作用。结合有关企业合规的立法、司法、执法现状和他类企业的建设经验,认为在体育企业中推行合规已时机成熟。基于必要性与可行性之讨论,提出了体育企业合规建设的路径,即在全面覆盖、逐步推行、独立客观的原则下,由体育行政部门通过制度建设和文化建设牵头引领合规,体育企业则通过做好专项合规、合规管理体系等手段具体落实。

In a positive sense,corporate compliance builds a system of rules for legal operation,and in a negative sense,it can be used as a basis for exchanging leniency for punishment when an enterprise violates the law,so it is an internationally prevalent way of corporate governance.Facing the problems in the development of sports enterprises,the introduction of the concept of corporate compliance and the implementation of sports corporate compliance in the context of the newly revised Law of the People’s Republic of China on Physical Culture and Sports will promote the improvement of sports governance capabilities,strengthen the autonomy of the sports industry and regulate the development of enterprises.Combining the current situation of legislation,judiciary and law enforcement regarding corporate compliance and the construction experience of other types of enterprises,this paper believes that the time is ripe for implementing compliance in sports enterprises.Based on the discussion of necessity and feasibility,this paper proposes a path for the construction of compliance in sports enterprises,that is,under the principles of comprehensive coverage,gradual implementation,independence and objectivity,the sports administration department leads the compliance through system construction and culture construction,and sports enterprises implement it concretely by means of good special compliance and compliance management system.
