在现代公司制度中,董事作为公司的管理机关和业务执行机关在代表公司对内和对外进行活动时对公司负忠实义务,此义务已成为特定情况下的法定义务。对于董事违反其应负忠实义务,应对公司承担相应的民事责任;如果给第三人造成损失的,还应承担以及第三人承担相应的赔偿责任。

In modern company system,director,as the manager and representative of the company,should be loyal to the company and its activities,whose essence belongs to a specific lawful duty. In case of the director’s breach of loyalty,the director is supposed to undertake the civil duty of the company. In addition,if it led to damage to the third party,the director also undertakes the related duty of compensation.
