摘要
现代公司治理结构是处理公司内部利益相关者的一种机制，其演化动力根源于经济主体自身追求效率、公乎及两者协调的固有趋势。我国应对英国一美国模式作适当的改进，使公司治理结构在基本目标、基本原则等方面满足公平与效率相结合的要求。
The administrative system of modern corporations is a mechanism to deal with people related to the interests within the corporations. The motive force of the system is based on the in- trinsic trend of the economic entity's pursuit of efficiency and fairness and the coordination of the two.. The British-American model practised in China should be improved so that the administra- tive system can meet the needs of both efficiency and fairness in basic goals and principles.
