摘要
投票权是股东的最基本权利 ,现行法律要求股东亲自出席或委托代理人出席股东大会才可行使投票权 ,这不仅不利于公司的民主化及股东权益的保护 ,而且导致投票成本的巨大。网络投票是解决目前投票机制弊端的有效途径 ,我国未来设计网络投票时 ,应注意主体设计与程序设计 ,平衡各种利益冲突 ,以实现网络投票机制效用最大化。
Voting right is the elementary right of shareholders, the present law requires that shareholders exercise voting right only when they present in person or entrust the proxy to present in person? This is disadvantageous to the democracy of corporation and protection of shareholders'rights and interests,and will result in great voting cost.Internet voting is an effective way to solve the drawbacks of ongoing' voting mechanism,If we construct internet voting,we should stress the devising of subject and procedure,to balance the conflict of interests in order to maxmize the utility of internet voting.
