全球化背景下公司治理模式的趋同化

The Convergence of the Model of Corporate Governance in Globalization

公司治理主要有两种典型模式,即英美模式和德日模式。但近年来这两种公司治理模式明显走向趋同化。这种趋同化一方面表现为两种治理模式之间相互借鉴、取长补短,另一方面则表现为两种治理模式的发展在许多方面呈现出共同特征。出现趋同化的原因一方面是因为不同治理模式的弊端日益显现,任何一种纯粹的模式都无法适应现经济全球化的发展;另一主要原因则是在全球化这一大背景下所形成的更为开放的环境,包括产品和金融市场的全球化、法律和机构运作规范的日益接近等等。

There are two typical modes of corporate governance in the world at present. One is the British-American mode, and the other is Japanese-German mode.It is obvious that these modes of corporate governance are moving towards convergence in recent years. On one hand, these modes of corporate governance learn from other's strong points to offset one's weaknesses each other. On the other hand,they appear common characteristic in many aspects in developing. The reason why these modes of corporate governance are moving towards convergence is that the drawbacks of the modes appear day by day, so any pure mode is unable to adapt to the development of the globalization. Another main reason is that under the background of globalization there is more and more opener environment, including the globalization of product and financial market, the close of law and organization operation standard day by day, etc.
