In order to overcome the faults in the corporation's management structure, this paper points out that it is necessary to set up and improve the independent board system in the on-stock market corporations in our country as soon as possible. The interacting system of these corporations should be enforced, every possible fault that is caused by the members of the board itself must be eliminated. Only in this way can the credit of the corporations be achieved, can the continued development of the corporations and the fair benefits of the investor be guaranteed.
