摘要
针对目前我国国有上市公司激励约束机制的现状,实证分析了34家ST上市公司激励约束机制存在的问题,并指出激励约束机制的失衡是导致上市公司高管机会主义行为的重要原因,最后提出了建立上市公司高管激励约束的均衡机制措施。
