关于完善独立董事制度的建议

Advice about independent director system perfecting

为改善上市公司治理结构,保护公司和中小股东的利益,促进中立国证券市场健康发展,中国在上市和拟上市公司中引进了独立董事制度,这一制度目前还很不成熟和完善。因此,分别从独立董事的功能定位、独立董事的任职资格、独立董事的产生机制、独立董事任期及兼职数、独立董事的激励与约束机制、独立董事的人数等方面对独立董事制度进行完善。

In order to improve the management of Chinese listed companies,protect the benefit of companies and little stock-holders and promote China's securities market development in a healthy way,our country introduces the independent director system for companies listed and to be listed.At present, this system is still very unripe, not perfect.So we should perfect such respects as director's qualification,director-producing mechanism;the term in office,encouraging and binding mechanism and the number of the independent directors theoretically and practically,to reservation the function of the independent director of our country perfectly on the theory and practice.
