摘要
公司治理结构是公司制度的核心。建立和完善公司治理结构,是我国现代企业制度真正建立和顺利实施的前提和基础。针对公司治理在股权结构、董事会制度及监事会制度等方面存在的问题,进一步明确股东会的法定职权、健全董事会和监事会制度、加强职工参与公司治理的力度是目前公司治理改革需要采取的重要措施。
The managing structure of company is the core of the company system.Establishing and developing the managing structure is the foundation and precondition of modern enterprise system in our country.Because there are many problems in the share structure,directorate and supervisory meeting system,some important measures should be taken to affirm the legal functions of general meeting,perfect the directorate and supervisory meeting system and enhance employees' consciousness to manage the company.
