摘要
我国独立董事职能应明确定位于监督。独立董事和监事会虽同属公司内部监督机制,但监督职能实现方式不同,二者可以在监督方面优势互补,实现有机结合。
The function of our independent director should be made clear in supervision.The independent director and supervisory board both belong to the inner supervision mechanism,while the realization of its function is different.Both have advantages in supervision and can be combined organically.
