从性质上讲,股份公司是所有权的一种实现形式,所以我国现在公司的最重要的问题是投资者保护问题,而非利益相关者问题;相关者利益不是一个承认不承认的问题,而是一个实现方式、实现途径的问题,可以基于经济关系、企业伦理、公共关系等多角度去处理。在公司治理的方式中,股东通过董事会的监督属于事中的、过程性的监督,能够最有力地对股权进行保护。

Stock company is one realization form of ownership and therefore currently the most important question faced by Chinese companies is how to protect investors rather than stakeholders. Whether admit it or not, stakeholders are realization mode and approach which can be handled from the perspective of economic relations, corporate ethics and public relations. In corporate governance the supervision by shareholders through BOD is of in-process supervision and procedural type which can provide the maximum protection for stock right.
