论利益相关者共同治理与国企治理结构创新

On The Common Administration Structure of People In Mutual Ben efit and Creation of Administration Structure of The National Enterprises

摘要 本文论证了企业治理结构从股东至上走向利益相关者共同治理的必然性;认为利益相关者共同治理机制的欠缺是国企治理结构存在的突出问题,其表现:一是国有股的“一股独大”,二是债权监督机制弱,三是治理结构的核心——董事会的构成不合理;在此基础上,提出了按照利益相关者共同治理逻辑创新国企治理结构的路径,即:一是实现国有企业产权主体的多元化,二是强化银行债权监督机制,三是完善董事会的构成。 This article arguments inevitability of the structure of enterp ri se management from stockholders to people in Mutual Benefit,and thinks that th e extruding question of the national enterprises is lack of com-mon administrat ion system of People in Mutual Benefit.This shows the follows :First,the sto ck of nation is'only the largest one',Second,lack of intendance system of th e creditor's rights,Third,composing of the board of directors as the core of a dministration structure is not in reason.On the basis,according to the com-mo n administration logic of people in mutual benefit,we proposed the path that n ational enterprises create.Here are these,First is to make corpus of property of state-owned enterprise into diversification,Second is to enhance supervisin g system of the bank for creditor's rights,Third is to perfect the composing of the board of directors.
