我国上市公司治理中存在的若干问题,究其原因是国有股法人股“一股独大”和“所有者缺位”所致。必须抓好“存量”与“增量”的处理,限制大股东的投票权,改变企业“所有者缺位”的现状,建立经理市场,实现经理人员的招聘机制,建立相应的激励与约束机制,严格限制董事长兼任经理现象,达到公司治理结构的目的。

There are a lot of problems existing in administration of the listed company in our country. It's the result that the state stock and corporation stock make themselves be 'only one' and 'the lack of owner'. We must deal with the problems of 'the number of stock' and 'the number of adding', have a limitation in the right of big shareholders, change the business situation of 'the lack of owner' set up a manager market, bring about the mechanism of application for manager staff, build a relevant mechanism of encourgement and limitation. We must have a strict that chairman of the board hold concurrent post manager in order to achieve the goal of adminstration in structure.
