摘要
本文具体研究了国外企业实施MBO的制度前提,认为其主要是由所有者推动的,同时对照分析了我国国有企业的制度特征,认为其主要是由经营者推动的。提出国有企业实施MBO不具备基本的制度基础,贸然实施,会导致对所有者财富的掠夺、引发社会矛盾,是一个陷阱。本文根据国务院8部委文件的精神,认为国有企业产权和职工全民身份的双重置换是科学合理的,同时提出置换的范围应该是全面的,置换获得的股权应该是无偿的。
In this paper, we discuss the system prerequisite to bring MBO into effect in the foreign enterprises, and we think it is mainly advanced by the owners. Combined with the system characteristics of the state-owned enterprises, we think MBO is mainly advanced by the operators. Then the paper puts forward the domestic state-owned enterprises could not have the fundamental system basis. If we carry out it without careful consideration, it will lead to the robbery of owners' fortune, and arouse the social contradiction. Based on the relative documents issued by State Department, it is scientific and reasonable for the property right of state-owned enterprises and employees as citizenhood to carry out MBO by double replacement, and the replacement scope should involve all the aspects. Besides, the stock equity by replacement should be obtained without money.
