Study of Company Stockholders' Blames for Providing Dishonest Capital Stocks

公司股东出资瑕疵严重侵害了其他股东、公司和债权人的利益,股东需要为此承担民事责任。我国现行公司法尚无系统的规定,故应借鉴外国先进的立法经验,在我国公司法修改之机,重新构建我国公司股东出资瑕疵责任制度。

If a company stockholder provides dishonest capital stocks, the profit of other stockholders, the company and creditors will be in danger of loss. The stockholder should take civil responsibility for it. Since there is no systematic regulation in the “Corporation Law” in China currently and the “Corporation Law” is under modification now, we should take the opportunity to constitute the system of company stockholders' blame for providing dishonest capital stocks again by using the advanced legislation experiences of other countries for reference.
