The company personality denial system

公司人格否认是为了制止滥用公司法人制度保护公司债权人的利益及社会公共利益,允许在特定条件下,否认公司的独立人格和股东有限责任、责令公司股东对公司债权或社会公共利益承担责任的一种制度。

The term 'company personality denial' means, a kind of system, to prevent abusing the corporative system of company to protect the benefits of company creditor and social public, under the particular circumstances, to deny the company independent personality and partners' limited liability, to order company shareholders to undertake duty to creditor's rights of company or social public benefits. It is necessary for our country company system to establish the company personality denial system.
