摘要
随着公司对拥有个人技能、专业知识的技术人员、管理人员重视程度的提高,技术股权的存在越来越普遍。现行做法通常是用章程和协议对技术股权的自由转让进行一定程度的限制,通过厘清实现其自由转让的前提和一系列具体的制度设计,打破现行做法的惯性思维,保障技术股权的自由转让。
With the rising importance of technical and management staff to the company,technology equity becomes increasingly common.In these days,people tend to impose restrictions on the transfer of technology equity through articles and agreements.This paper tries to figure out the premises of the free-transfer and draw up some institutions in detail,and to make sure that the technology equity can be freely transferred.
