股东直接诉讼中的问题和一般民事诉讼相似,但股东代表诉讼是一项特殊的制度构建。我国《公司法》第152条规定的股东代表诉讼,将我国小股东保护的法制提高到一个新高度。但股东代表诉讼是一项复杂的制度构建,上述法条离成熟的制度还有很大距离。有必要从主体、限制和程序三个方面对股东代表诉讼制度的规则架构进行分析,使其成为一项切实可行的法律制度。
