摘要
尽管资本多数决作为一项议事规则在公司的运转过程中起到基石作用,但在公司实务中,由于控制股东与中小股东存在内在的冲突,所以导致控制股东"恃强凌弱"或中小股东"以小讹大"的现象,不利于公司的长期运转和发展。其研究方法是剖析资本多数决原则的法理基础和规范适用出现的情况,进而得出两个解决此问题的研究结论:一是培植股权文化的内生力;二是强化控制股东的受信义务,以此构造相对公平的理论制度和利用两者的平衡点对控制股东进行约束,进而实现最大可能的控制股东与中小股东权利之间的平衡。
Though the rule of the Capital Majority plays a cornerstone role in the company's operation of the process,but in the process of corporate practice,due to inherent conflict between controlling shareholders and minority shareholders,resulted in the controlling shareholder bullying or getting large profits on small risk.It is not conducive to the company's long-term operation and development.Analyzes the legal basis of the majority rule,and then come to the conclusions of two solutions to this problem: to cultivate equity culture within the San Miguel,the second is to strengthen the fiduciary obligations of the controlling shareholder so that construct a relatively fair theory system and use of the balance between the two to restrict the controlling shareholders,thus achieving a maximum possible balance between the controlling shareholders' and minority shareholders' rights.
