股东信息权制度研究

股东信息权是指股东有要求公司提供公司信息的权利。由于公司所有权与经营权的分离 ,导致股东与公司间信息的不对称 ,从而危及股东利益的实现。赋予股东以信息权是克服信息不对称的有力措施 ,具有重要的法律价值。我国股东信息权制度亟待完善相关规定 ,使股东信息权制度真正实现其应有的法律价值。

Shareholders' information right refers to the right that shareholders are entitled to be informed of the information of the corporation. The result of the separation of ownership and management power of the corporation is that the information is not balanced between shareholders and the corporation. Thus the realization of shareholders' interests are negatively affected. Vesting shareholders with information right is an effective measure to overcome the unbalance of information, and possesses significant legal value. The relevant provisions concerning the system of shareholders' information right in China are demanding prompt perfection to make them realize their proper legal values.
