论公司制企业的规范化发展

本文认为:国有大中型企业公司制改革重在构建企业高效运行的组织和制度基础,使企业成为符合市场经济要求的法人实体和竞争主体,为此,应按照现代企业制度的特点和要求,彻底改革传统的 工厂制"企业制度,建立规范的公司制企业制度;缺乏规范的公司制,会导致企业行为的扭曲,增加企业的代理成本,恶化企业资产质量,降低企业的运行效率;国有企业的公司制改革应步入规范化发展的轨道,包括法人治理结构规范化、委托—代理关系规范化。

Thepurposeofreforminlargeandmedium -sizedstate-ownedenterprisesistoestablish anorganizationalandsystemicbasisforoperationofhighefficiency,soastoturntheenterprises intoincorporatedentityandprincipalpartofcompetitionthatfitforthemarketeconomy.So, obviously,acompletechangeinthetraditionalwayof'runningafactory'becomesnecessaryandrequirementsforoperatingmodernenterprisesareindemand.Otherwise,therewillbesuch harmfulconsequencesasdistortionofbehaviorsonthepartoftheenterprises,anincreaseinthe costofagents,aggravationofqualityoftheassets,andadecreaseinoperationalefficiency. Therefore,reforminstate -ownedenterprisesshouldbedirectedintothechannelofnormal growth,includingnormalizingmanagementofthelegalperson,normalizingtherelationwitha gents,normalizingthestructureofmarketing,andnormalizingthesupervisionsystemover propertyright.
