摘要
企业家报酬的设计是建立企业家行为激励约束机制的基础。它应遵循的主要原则有:报酬与绩效挂钩,经理与股东利益兼顾;效率优先,兼顾公平;以风险收入为主,固定收入为辅;间接确定为主,直接确定为辅。企业家报酬的基本方式是租赁制和分成制。通过劳动报酬──工资、人力资本风险报酬──奖金、投资报偿──股息来激励和约束企业家的行为。
The Design of entrepreneuers' payment is the basis for setting up the behavor motivating and binding mechanism to entrepreneuers. The principles it should follow are such as, to link the payment with performance, to consider both the interests of managers and stock -holders, to give the priority to efficience but with consideration of equality, risky income to be taken as the main way and fixed income as a by-way, and indirect confirmation as the major method and direct confirmation as a by-method,Generally, entrepreneuers' behavor are motivated and binded by the following ways:pay from work- -salary, risky payment of hunam capital - bonus, investment return-interest of stock.
