组建跨国公司:以组织替代市场

跨国公司的特征是用企业内部管理取代外部市场,用内部分工取代国际分工,以节省交易成本。跨国分司的内部化行为使现代企业规模边界大大拓展了。中国发展跨国分司的最大障碍是企业组织成长不足。一个企业要发展成跨国公司,首先必须是一个有经营自主权的真正意义上的现代企业。中国的企业要想发展成跨国公司,必须实现包括产权制度、组织形式,组织结构等在内的一系列制度创新。

The purpose:to reduce transaction cost. By means of intemalization, a transnation-al corporation has thus extended its scale and boundary. In China, the development of transnational corporation is fatally handicapped by the immature growth of enterprise organiza-tion. To become a transnational corporation, an enterprise should first of all be invested with full decision - making power in its operation. Therefore, the Chinese enterprises should under-go a series of institutional innovations that involve property system, organizational set-up, management mechanism, etc.
