我国国营企业股份制问题研究

Problems in Stock Ownership in State-owned Enterprises

本文对我国国营企业股份制进行了比较全面的论述,并指出:根植于我国现实经济环境中的股份制在股份构成、收益分配、组织形式等方面都具有西方股份制所不具有的特征。只有从我国经济体制改革的特定背景出发,着眼于理顺企业与国家的产权和利益关系,才能深刻把握我国股份制的运行机理,尤其是国有股股权虚置,收益优先的真实意蕴。

Beginning with a comprehensive review of the stock ownership in China's state-owned enterprises, the present article points out that the stock ownership implantedin current Chinese economy differs from that in the west in such aspects as thestructure of the stock, distribution of dividends and the institutional forms. Theauthor emphasizes that only by proceeding from the observation of the specific back-ground set on China's economic reforms and focusing on the interrelations betweenany individual enterprise and the state so far as ownership and benefits are con-cerned could the operational mechanism of the stock ownership in China be correctlycomprehended and the real key to the solution of the issues involving the state -controlled stocks and the state's priority in the distribution of profits be found.
