具备效率与安全法理价值的公司秘书制度,对于完善我国上市公司治理结构具有重要意义。我国对英美法系的公司秘书制度进行法律移植已有十余年,其效果却不尽如人意,最根本的原因是我国在移植公司秘书制度之初所确定的法律移植价值取向存在偏差,加上我国公司治理结构的特殊性质,导致现行董事会秘书制度不能发挥应有的作用。

In the process of building the system of modern enterprise, the secretary of a company system in common laws has been replanted into our law system. After ten years this brings little effect. This thesis probes the value tropism what we must stand by when replanting the secretary of a company system on the basis of it抯 efficiency and security value, connected with the acceptance of the frame of company management to the secretary of a company system.
