第一章总则第一条为了便于《中华人民共和国中外合资经营企业法》(以下简称中外合资经营企业法)的顺利实施,特制定本条例.第二条依照中外合资经营企业法批准在中国境内设立的中外合资经营企业(以下简称合营企业)是中国的法人,受中国法律的管辖和保护.
The Regulations Governing the Implementation of the Law of the People's Republic of China on Joint Ventures, promulgated by the State Council on September 26, comprise 16 chapters with 118 provisions. The main points of the Regulations are as follows:1. legal status of the joint venture enterprises in China;2. sectors in which the establishment of joint ventures is encouraged as well as requirements and prohibitions;3. establishment of joint venture enterprises and procedures for their approval; agreements, contracts, rules and regulations for their establishment and major contents to be included therein; organizational forms; patterns of making investment and their rights of operation;4. Board of Directors and management organs of joint venture enterprises;5. relationship between plans of joint ventures and those of China's national economy; their channels of supply and distribution and prices of their products;6. question of foreign exchange and accounting system of joint ventures;7. relationship between joint ventures and departments responsible for them;8. question concerning management of labour force and trade unions;9. question of consultation, mediation and arbitration in case of disputes arisen between the two parties of the enterprises.
