摘要
现代经理型厂商理论,从现代资本主义大企业所有权与控制权分离的现实出发,提出经理和股东之间存在目标差异,经理可能利用控制权以损害股东利益为代价来追求个人效用最大化。我国国有企业建立现代企业制度的改革,同样面临上述问题。为防止经理运用经营权侵犯所有权,在产权改革的同时建立起有效的企业家行为激励、约束、监督机制是国有企业改革的关键之一。
The modern managerial enterprise theory raises the problem that there are differences between managers and share-holders, from the reality view that the seperation ofthe ownership rights and managing rights in modern large capitalist enterprises. Managers can use their control power to maxmize their personal interests in the cost of theinterests of share-holders. The reform of our country's state-owned enterprises tobuild up modern enterprises system also faces this problem. To prevent managers usingtheir managing powers to vilate the ownership rights, one of the key steps of the reformof the state-owned enterprises is to build up the effective mechanisms of motivation,restriction and supervision of enterpreneurs' behavors.
