公司治理结构的国际比较及对我国的启示

Comparing Corporate Governance Structure Internationally and the Inspiration to China

在现代市场经济国家中,由于各国历史文化传统、经济发展道路和政治法律偏好的差异,经过长期的公司实践和制度演变,构成了形态不同的公司股权结构,并由此产生了公司治理结构和企业行为上的重大区别。探讨主要市场经济国家股权结构与治理结构的不同类型,然后,针对国有企业公司治理结构当中存在的问题,从所有者和经营者制约均衡的角度出发,提出一些政策建议。

Among countries with modern market economy,due to the difference of historical and cultural customs,the mode of economic development and the preference of politics and law,after long-term corporate practice and system evolution,corporate ownership structure of different patterns are formed and therefore,there occurs the significant distinction of corporate governance structure and enterprise behavior. This article begins with analyzing different types of ownership structure and governance structure in major countries with market economy,followed by some policies and suggestions in terms of problems within the corporate governance structure of state-owned enterprises and regarding the balance of restriction between owners and operators.
