摘要 国有企业改制存在很多复杂的理论和实践问题。首先 ,国企改制不同于以往其他的改革措施 ,它必须从根本上解决投资主体多元化和企业产权出资人到位的问题 ,提高国有资本质量 ,同时要实现全体员工的身份置换。其次 ,尽管改制对国企的原有体制进行了根本性的变革 ,但规范的改制不会造成私有化和两极分化。同时也必须明确 ,改制不可能解决企业的所有问题 ,改制后员工的职业稳定性的下降不等于其安全性的削弱。再次 ,由于国企改制事关我国改革发展稳定大局 ,实施过程中必须十分慎重。其中突出地是要认真处理好国有资产的价值评估、转让价格的确定及付款方式。 There exist many complicated theoretical and practical problems in the state-owned enterprise reform. First of all, the state-owned enterprise reforms,different from other reform measures in the past, must fundamentally solve such problems as multiplication of investment bodies and the assignment of enterprise property right contributor, improve the quality of the state-run capital,and realize the change of the staff's identity. Secondly, in spite of the fundamental change to the original system of the state-owned enterprise, the normal reform will not cause the privatization and produce a polarization. Meanwhile it is clear that it is impossible for reform to solve all problems of enterprises, the decline of the staff' s job stability does not mean the weakening of their securities after reforming system. Thirdly, because the state-owned enterprise reform concerns the overall situation of reform, development and stability of our country, we must be very cautious in the course of implementing, especially in assessing the value, setting transfer price and term of payment, dealing with management buyout and the staff's compensation payment.
