通过比较分析认为 ,完善的公司治理应是东西方文化结合的产物 ,是制度与人性互相支持的结果 .若进行正确的政策导向 ,内部人控制问题就可向MEBO状态转换 ,则有利于国有企业退出竞争领域 .还对当前监事会的法律地位提出质疑 ,指出在完善的法人治理结构中 ,监事会应具有相应的法律地位 ,且有约束监督政策的权力 .

By means of comparative analysis, it is thought that perfect corporate governance should be the combination of the eastern culture with the western culture, and be the compensation and support of system and humanity with each other. If some correct introduction to policy is provided, the phenomenon of insider control can be changed into MEBO, which is beneficial to that SOE will be withdrawn from the competitive fields. Aiming to the present legal status of supervision commission, some policy suggestions are given that supervision commission should have legal status in perfect corporate governance.
