公司治理结构的优化与完善是现代公司制度的核心问题。我国公司的治理结构模式采取的是大陆法系的"内部监控模式",即股东会是公司的权力机关,股东会产生董事会和监事会,董事会和监事会对股东会负责。但现阶段我国公司治理结构却出现了股权结构不合理、内部控制失衡、经理人市场不完善以及利益相关者治理机制欠缺等问题。这就需要采取健全股权结构、完善内部控制机制、发展经理人市场与维护利益相关者权益等措施来加以解决。
