中国(上海)自由贸易试验区(简称上海自贸区)探索建立"负面清单"外资管理模式是其亮点也是难点。"负面清单"模式是国际贸易或投资协定中做出义务承诺的一种方式。上海自贸区的"负面清单"模式是正在进行的中美双边投资协定"准入前国民待遇+负面清单"谈判模式的先试先行。本文将探讨上海自贸区"负面清单"相关的法律问题,如"负面清单"是否包括了未来出现的产业,"负面清单"内容是否可增加及这样做可能的理由,对"负面清单"内容发生理解纠纷的解决机制等。
The 'negative listings' of the national treatment for FDI is a bright point as well as a difficult point for China(Shanghai) pilot free trade zone(Shanghai FTZ). The negative listings method is one of the models for the commitments on market access in the current international trade and/or investment agreement. The negative listings of Shanghai FTZ are a pilot for Sino-U.S BIT negotiation. This article will analysis on some legal issues related to the negative listings, such as how to deal with the currently non-exist sector, on what conditions the list can be enlarged and how to deal with the dispute on the interpretation of the listed items.
