集体经济组织成员优先权的法律构造

集体经济组织成员优先权的行使,以流转价格、流转价款的交付时间与方式、流转数量、流转期限以及违约责任五个方面的同等条件为前提。流转方应以公告的方式向本集体经济组织成员履行告知义务,同时确定优先权的行使期限。集体经济组织成员在优先权期限内未予表示,视为放弃。多个成员主张优先权的,应由流转方自由选择确定。优先权受到侵害时,可以向流转方主张赔偿,但不得主张流转方与第三人的流转合同无效。

The circulation price,delivering time and mode of circulation money,circulation number,circulation period and the liability for breach of contract is a prerequisite of priority right of member of the collective economic organization. The circulation party should take notice to the members of the collective economic organization and set the exercise period of priority right. The members don't not express in the priority period,as to give up. Multiple members argue for priority,the circulation can freely choose. Priority right is infringed,the injured party can claim compensation to circulation party,but may not advocate the circulation contract invalid.
